Terms and Conditions of Use for Nextspace

These Terms and Conditions of Use (the “Terms”) govern your access to and use of the website www.nextspace.co (the “Site”) operated by Gennaker Advisory Limited (trading as Nextspace), whose registered address is Room 4, Flat B, 5/F, Cheung Yick Industrial Building, 12 On Yip Street, Chai Wan, Hong Kong (“Nextspace”, “we”, “our” or “us”).

By accessing or using the Site, you (“you” or “User”) agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of the provisions of these Terms, please do not access or use the Site.

1. Description of Service

The Site is an online marketplace that allows users to search for and inquire about coworking spaces, serviced offices, shared offices, and business centers available in Hong Kong and Singapore (the “Providers”). Nextspace does not own or operate any of the spaces listed on the Site. Our role is limited to providing a platform to connect Users with Providers.

2. Use of the Site

  • You agree to use the Site in accordance with these Terms and all applicable laws and regulations.  
     
  • You are responsible for the accuracy and completeness of the information you provide to us.  
     
  • You must not misuse the Site by introducing viruses, malware, or other harmful content.
  • You must not attempt to gain unauthorized access to any part of the Site, the servers on which the Site is hosted, or any database connected to the Site.

3. Information on Providers and Spaces

  • Information regarding coworking spaces, serviced offices, shared offices, and business centers (including descriptions, pricing, and availability) is provided by the Providers. Nextspace does not warrant the accuracy, completeness, or timeliness of this information.
  • Any interaction or transaction you may have with a Provider via the Site is directly between you and the Provider. Nextspace is not a party to such interactions or transactions and disclaims any liability in connection therewith.

4. Communication with Providers

  • You acknowledge and agree that we reserve the right to share all of your contact information (including, but not limited to, your name, email address, and phone number) with the Providers you have expressed interest in through the Site.
  • Providers may contact you directly using the information we have provided to them. We may also contact you directly regarding your inquiry.
  • We do not resell your contact information to third parties for marketing purposes other than connecting you with the relevant Providers based on your search.

5. Intellectual Property

  • The Site and its content (excluding content provided by Providers) are the property of Gennaker Advisory Limited and are protected by applicable intellectual property laws.
  • You are not permitted to copy, modify, distribute, sell, or lease any part of the Site or its content without our prior written consent.

6. Limitation of Liability

  • To the maximum extent permitted by applicable law, Nextspace disclaims any liability for any direct, indirect, consequential, special, or incidental damages arising out of or relating to your access to or use of the Site, your inability to use it, or any information or content available on the Site.
  • We are not responsible for the actions, content, information, or data of third parties, including Providers, and you release us, our directors, officers, employees, and agents from any claims and damages, known and unknown, arising out of or in any way connected with any claim you have against any such third parties.  
     
  • Our total liability to you for any claim arising out of or relating to these Terms or your use of the Site shall not exceed the amount of HKD100.   
     

7. Indemnification

You agree to indemnify, defend, and hold harmless Nextspace, its officers, directors, employees, and agents from and against any claims, actions, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any third party’s rights.  

 
 

8. Modifications to the Terms

We reserve the right to modify these Terms at any time without prior notice. Any changes will be effective immediately upon posting on the Site. It is your responsibility to review these Terms regularly for any updates or changes. By continuing to access or use the Site after any modifications, you agree to be bound by the revised Terms.  

 
 

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Hong Kong. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of Hong Kong.  

 
 

10. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nextspace regarding your use of the Site and supersede all prior or contemporaneous communications and proposals, whether oral or written.
